1. Services

Olmem Technical Solutions provides custom website design and development, content management systems (CMS), automation tooling, and related digital services for contractors, automotive businesses, and other clients. The specific scope of services for each engagement is agreed upon in a separate proposal or subscription agreement.

2. Acceptance of Terms

By using our website, submitting a quote request, purchasing a subscription, or otherwise engaging our services, you represent that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with them in full.

3. User Responsibilities

You agree that you will:

• Provide accurate and complete information when submitting forms or purchasing services.
• Use our services only for lawful purposes and in compliance with applicable laws.
• Not attempt to gain unauthorized access to any part of our systems, infrastructure, or client accounts.
• Not use our services to distribute spam, malware, or any harmful content.
• Keep your login credentials (if any) confidential and notify us of any unauthorized access.

4. Payments & Subscriptions

Subscription services are billed on a recurring monthly basis. One-time project fees are billed according to the project agreement. By providing payment information, you authorize us to charge the applicable fees.

• Cancellations – You may cancel a subscription at any time. Cancellation stops future billing; previously paid amounts are non-refundable unless otherwise required by law.
• Late payments – We reserve the right to suspend or terminate service for non-payment after reasonable notice.
• Price changes – We may update pricing with at least 30 days’ notice to active subscribers.

5. Intellectual Property

Upon full payment for a completed project, you own the custom deliverables we create specifically for you (e.g., website design, custom code). We retain ownership of any proprietary frameworks, tools, templates, or components developed independently of your project, and we grant you a non-exclusive license to use them as part of your deliverables.

All content on the Olmem Technical Solutions website—including text, graphics, logos, and code—remains our property and may not be reproduced without written permission.

6. Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We store subscriber and client information securely. Sensitive fields are encrypted at rest. We will not share your information without consent, except as required by law.

7. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation of any service.

8. Limitation of Liability

To the fullest extent permitted by law, Olmem Technical Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages. Our total liability for any claim related to our services shall not exceed the amount you paid us in the three months preceding the claim.

9. Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or applicable law. You may also terminate your use of our services at any time. Upon termination, any provisions of these Terms that by their nature should survive will continue to apply.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved in the applicable courts, and you consent to exclusive jurisdiction in those courts.
